By using Parents Evening System ("Service") as provided by School Cloud Systems ("Provider"), you ("User") agree to be bound by the following terms and conditions ("Terms and Conditions of Service").
Before making use of the Service you must first agree to the Terms and Conditions of Service. You cannot use the Service without agreeing to the Terms and Conditions of Service.
The User can accept the Terms and Conditions of Service by either indicating through the Service interface or through making use of the Service. If the User makes use of the Service they are deemed to have agreed to be bound by the Terms and Conditions of Service.
Provider responsibilities are to make Service available online when possible at www.parentseveningsystem.co.uk and www.parentseveningsystem.com and to provide bug fixes and updates when and if available and/or required.
User responsibilities are to set up the Service for use by the User including, but not limited to, updating events, students, teachers and class information. The User is responsible for keeping all settings and data up to date on the Service. The User is responsible for keeping account information (such as usernames and passwords) confidential.
The User may not use the Service for any illegal or unauthorised purpose. The Provider reserves the right to remove any content which at the discretion of the Provider is deemed spam, illegal, offensive, unlawful, threatening, pornographic, obscene or objectionable. The User is solely responsible for any breach of its obligations under the Terms and Conditions of Service and for the consequences (including any loss or damage which the Provider may suffer) of any such breach.
The Provider will grant access to the Service while the User holds a valid and current licence.
The User undertakes to keep confidential all technical and commercial information provided by the Provider under the Terms and Conditions of Service including the cost of the Service. The Provider undertakes to keep confidential all information input (or "provided") by the User.
The User understands that while using the Service, data is transmitted from the User to the Service over unencrypted networks.
The User obtains no ownership rights whatsoever of the Parents Evening System software, software designs, implementations, source code and documentation through and beyond the Terms and Conditions of Service.
The User does not have the right either on its own account or through any 3rd party to: copy, modify redistribute, sell, resell or use the Parents Evening System software in any other organisation.
The User must hold a valid and current licence in order to continue with uninterrupted access to the Service. The User may use the Service as described in the Terms and Conditions of Service for the time of the licence. Should the User default in any of its obligations the Provider reserves the right to terminate the right to use the Service forthwith.
If the Provider considers the resource usage by the User to be excessive then the Provider will inform the user that the Service may be restricted or in extreme cases disabled while renegotiating the licence to use the Service.
The failure of the Provider to enforce any sections of the Terms and Conditions of Service does not signify that the Provider has waived the Terms and Conditions of Service. These Terms and Conditions of Service replace any previous terms between the User and the Provider including but not limited to any previous versions of the Terms and Conditions of Service.
Neither party accepts any liability whatsoever under the Terms and Conditions of Service either now or at any period in the future. The Provider cannot be held responsible for any inactivity of the Service nor can the Provider be held responsible for any data loss due to the Service being hosted by a 3rd party. The User accepts the Provider is not responsible for any direct or indirect damages as a result of loss of Service including but not limited to loss of profits, goods, data or any intangible losses. In the unlikely event of data loss, the Provider will endeavour to restore data from backups on a best efforts basis.
In any circumstances where the law applying in the legal jurisdiction of either the User or Provider does not permit exclusion of liability, even by contractual agreement, in all circumstances, the total value of any claim which the User may have will not exceed the total of all payments paid directly to the Provider for this Service during the period throughout which the Terms and Conditions of Service has been in force and operation. The Provider reserves the right to modify this agreement subject to reconfirmation by the user.
